Terms & Conditions
Envoltz, LLC ("Seller") shall be bound exclusively and solely to the terms and conditions set forth herein. These terms govern all quotations, orders, and sales transactions.
Acceptance of Terms
Envoltz LLC operates under specific terms governing all sales transactions. The company exclusively binds itself to terms outlined in quotations, explicitly rejecting any additional or differing terms from customer documents unless expressly agreed upon in writing.
Specifications & Modifications
Envoltz reserves the right to adjust specifications when commercially necessary due to material availability or government regulations, provided changes don't materially affect product strength or efficiency. Customer specification changes require written agreements signed by both parties detailing modifications and price adjustments.
Delivery
Delivery dates provided are estimates only, contingent upon timely customer acceptance and receipt of required deliverables. Delays caused by circumstances beyond the seller's control — including labor disputes, material shortages, or accidents — do not constitute defaults. Goods ship F.O.B. from the manufacturing facility, with risk transferring upon carrier delivery.
Payment
Payment terms require net U.S. dollars within thirty days from earliest shipment. Customers grant Envoltz security interest in delivered goods to secure payment obligations. Sales prices exclude international, federal, state, and local taxes, with customers responsible for all tariffs and duties.
Cancellations
Order cancellations may result in full invoice charges minus salvage value. All quotation modifications require written signatures from both parties. The company maintains the right to limit order quantities and prohibits shipment diversions without prior written approval.
Confidentiality
Customer non-disclosure obligations prohibit sharing quotation terms, prices, or received information with third parties, except legal counsel, financing entities, or prime contractors. This obligation survives product delivery.
Patent Protection
Patent protection covers goods manufactured according to seller specifications without customer modification. If goods are held to infringe patents, Envoltz may procure usage rights, replace products, modify them to avoid infringement, or refund purchase prices. Customers assume liability for infringement claims arising from goods manufactured to customer specifications.
Warranty
Envoltz warrants goods free from manufacturing defects for one year following delivery, provided goods are operated within specifications. Warranty covers defects in material and workmanship only. Goods not manufactured by Envoltz carry only original manufacturer warranties. The company disclaims all other warranties, including merchantability and fitness for particular purposes.
Indemnification
Customers agree to defend and indemnify Envoltz against claims arising from customer acts, errors, or omissions causing bodily injury, death, or property damage. The seller assumes no liability for indirect, special, or consequential damages regardless of negligence.
Governing Law
The quotation and accompanying terms constitute the entire agreement between parties. Louisiana law governs interpretation and construction. Intellectual property rights, including all related patents and trademarks, exclusively belong to Envoltz. Provided equipment does not convey customer intellectual property ownership.
SMS Communications
SMS communications terms specify messages may include order updates, service alerts, and promotional offers, with frequency limited to approximately four monthly messages. Recipients may opt out by texting "STOP" or request assistance via "HELP" responses. Standard message rates apply per carrier plans. Envoltz does not sell customer mobile numbers to third parties for independent marketing purposes.
